In a significant healthcare transaction, Transition Capital Partners (TCP) and Enhanced Equity Funds (EEF) have successfully divested their portfolio company, Santé Pediatric Services (“Santé Pediatrics”), to Epic Health Services, Inc. (“Epic”), a portfolio company of Webster Capital. Lincoln International, a prominent global mid-market investment bank, acted as the financial advisor for this transaction, which officially closed on December 19, 2012. This strategic move marks a notable achievement for Transition Capital Partners and their investment strategy in the healthcare sector.
Santé Pediatrics, established in 1988, has grown to become a leading independent pediatric therapy provider in Texas. Operating through both clinic-based and in-home services, Santé Pediatrics offers comprehensive care across the state. Epic Health Services, on the other hand, is a well-recognized provider of both pediatric and adult home healthcare services. The acquisition of Santé Pediatrics is poised to significantly enhance Epic’s pediatric therapy offerings, adding clinic-based services across 11 Texas cities to their already robust in-home therapy programs, encompassing physical, occupational, and speech-language therapies.
Michael T. Fricke, President and CEO of Santé Pediatrics, expressed enthusiasm about the synergy, stating, “By combining our therapy expertise with Epic’s recognized leadership in pediatric private duty nursing, we’re able to better serve the children of Texas and provide them with the comprehensive care they need to reach their highest potential.” John C. Garbarino, President and CEO of Epic, echoed this sentiment, highlighting the strategic benefits: “Our in-home pediatric therapy division will be strengthened by Santé Pediatrics’ experience and expertise in all aspects of pediatric therapy. Expanding our service offerings to include Santé Pediatrics’ 11 pediatric therapy clinics allows us to help more children in the state of Texas with their therapy needs.”
Lincoln International’s role as the financial advisor was crucial in facilitating this transaction. They provided comprehensive advisory services to EEF, Transition Capital Partners, and Santé Pediatrics, guiding the management team through every stage of the sale process. This included expert advice, managing preparation, marketing, negotiation, and due diligence, ensuring a smooth and efficient transaction.
Malcolm Kostuchenko, Managing Partner at Enhanced Equity Funds, acknowledged Lincoln International’s expertise and network, noting, “The Lincoln team’s robust industry knowledge and direct access to strategic acquirers were critical to achieving a successful outcome for EEF, TCP and Santé Pediatrics.” Kevyn DeMartino, Managing Partner of Transition Capital Partners, further emphasized the efficiency of the process, adding, “The Lincoln team was highly committed to running an efficient process and worked diligently to ensure a close by year end.” This successful sale underscores Transition Capital Partners’ strategic investment approach and their ability to realize value for their portfolio companies, further solidifying their position in the investment landscape.
