Crescendo Capital Partners Announces Successful Exit from United Building Solutions Investment

Crescendo Capital Partners, a leading middle-market private equity firm, has announced the successful completion of its investment in United Building Solutions, LLC (“UBS”). The exit was finalized through a sale to AE Industrial Partners (“AE”), marking another successful chapter for Crescendo Capital Partners and its portfolio.

UBS, under Crescendo Capital Partners‘ guidance, has become a prominent provider of specialized mechanical services. The company operates primarily in the commercial building sector across Pennsylvania, New Jersey, and New York. Crescendo Capital Partners initially formed UBS through strategic acquisitions, starting with Lor-Mar Mechanical Services, Inc. (“Lor-Mar”) in 2020. This was followed by further expansions in 2022, incorporating Unitemp, Inc. (“Unitemp”), Mechanical Degrees, Inc. (“MDI”), and A&B HVAC Services, Inc. (“A&B”) into the UBS platform. Each of these acquired businesses brought decades of market leadership and strong teams, forming a robust foundation for growth under Crescendo Capital Partners‘ investment.

Crescendo Capital Partners played a pivotal role in transforming UBS from a collection of independent mechanical building and construction entities into a cohesive, integrated organization. This strategic evolution focused on delivering direct services and comprehensive solutions to a dynamic and complex commercial client base. By strategically investing in the management team and expanding the service offerings, Crescendo Capital Partners fostered stronger, more reliable customer relationships and enhanced the predictability of earnings for UBS. This transformation has positioned UBS for continued platform growth and market leadership. Today, UBS stands as a trusted, full-service partner for building owners, offering a broad spectrum of capabilities, including design-build, installation, renovation, preventative maintenance, repair, building controls, and advanced analytics.

Dave Leathers, CEO of UBS, acknowledged Crescendo Capital Partners‘ collaborative and supportive approach, stating, “Crescendo has been a supportive and collaborative partner for UBS, empowering the management team and encouraging both growth and stability to the benefit of all UBS employees and stakeholders. Crescendo’s ethos of ‘we take care of employees, employees take care of customers, and customers take care of us’ facilitated the customer and solutions focus that UBS has become known for and culminated in an exciting new chapter for us with AE.”

Mike MacRitchie, Chairman of UBS and Managing Partner at Crescendo Capital Partners, highlighted the critical role of the UBS team: “As with any trade-focused business, UBS’s success is directly attributable to its fantastic people, from the field to the executive team. Through the hard work and dedication of the team, UBS was able to achieve significant growth during our investment period and is incredibly well positioned for the future.”

Joel Gaynor, Principal at Crescendo Capital Partners, further commented on the successful partnership: “We are proud of what we achieved together with the UBS team and look forward to cheering our former teammates on from the sideline as UBS continues to grow and provide opportunities for its people and solutions for its customers.”

William Blair served as the exclusive financial advisor, and Loeb & Loeb acted as the legal advisor to UBS for this transaction.
